### Nexus Subscription Licence — Monthly or Annual
By starting a Nexus subscription, you agree to the following terms:
1. **Subscription licence**
While your subscription remains active, you receive a non-exclusive, non-transferable licence to use Nexus for the number of installations stated at checkout. This is a subscription right to use the software and is not a perpetual licence.
2. **Billing and renewal**
Your subscription is billed monthly or annually, as selected at checkout. Unless cancelled, it will renew automatically for another period of the same length and the applicable payment will become due.
Annual subscriptions are charged for one year in advance unless the checkout expressly states otherwise.
3. **Software updates**
Your subscription includes generally released Nexus software updates and upgrades for the subscribed edition while it remains active.
Hardware, installation, configuration, bespoke development, third-party services and separately sold products are not included unless expressly stated.
4. **Free trials**
Where offered, the trial length will be shown at checkout and will normally be seven days.
At the end of the trial, the subscription payment becomes due and an authorised payment method may be charged automatically. Access may be suspended if payment is not made.
Unless stated otherwise, only one free trial is available per customer and product.
5. **Automatic payments**
By authorising a payment method, you permit our payment provider to collect subscription charges when they fall due.
Full payment details are processed and retained securely by the payment provider. Nexus Cloud stores only the references and limited payment-method information required to administer your subscription.
6. **Cancellation**
You may cancel automatic renewal through your Nexus Cloud account or by contacting us.
Cancellation normally takes effect at the end of your current paid subscription period, and you may continue using Nexus until that date.
Cancelling an annual subscription prevents the next annual renewal but does not normally entitle you to a partial refund for the unused part of the current paid year, except where required by law or expressly agreed by us.
7. **Failed or overdue payments**
If a subscription payment is declined, reversed or remains unpaid, we may retry the payment and notify you.
Unless a payment grace period is expressly stated at checkout, the licence may be suspended from the payment due date. Paying the outstanding invoice will normally restore the same licence and installation association.
8. **Price changes**
We may change subscription prices for future renewal periods.
We will provide reasonable notice before charging an increased price. You may cancel before the new price takes effect if you do not wish to continue.
9. **Changes to Nexus and compatibility**
Nexus may gain, change or retire features over time. We will not materially reduce the core service during a paid subscription period without a reasonable operational, legal, security or technical reason.
We cannot guarantee indefinite compatibility with every future operating system, device, integration, third-party product or external service.
10. **Discontinuation**
If we permanently discontinue the subscribed Nexus service before the end of a prepaid subscription period, we will provide an appropriate remedy.
This may include continued access, migration assistance or a proportionate refund for the affected unused period.
11. **Licence restrictions**
You may not resell, share, sublicense, copy, distribute, reverse engineer or commercially exploit Nexus except where permitted by these terms or applicable law.
Use is limited to the customer, household, organisation and installation allowance stated at checkout.
12. **Suspension and termination**
We may suspend or terminate access where the subscription was obtained fraudulently, a payment is charged back, the software is unlawfully distributed or these terms are materially breached.
Where reasonably possible, we will provide notice and an opportunity to remedy a remediable breach.
13. **Statutory rights**
Nothing in these terms limits any statutory cancellation, cooling-off, refund or digital-content rights available to you.
Where you request immediate access during a statutory cooling-off period, we may ask you to consent to immediate supply and acknowledge any lawful effect this has on your cancellation rights.
14. **Ending or restarting a subscription**
Ending a subscription stops future renewals but does not remove invoices, account records or information that we are required to retain by law.
An eligible subscription may be restarted later at the prices and terms available at that time.
